Terms of Service

Minz.ai, the trading name of MINZ AI JOINT STOCK COMPANY (“we”, “us”, “our”), operates the Minz.ai Workforce OS, including the Jarmin AI assistant, available at minz.ai. These Terms of Service (“Terms”) govern your access to and use of Minz.ai, including any plugins, integrations, and related services.

This agreement is between you and Minz.ai only, not with Apple, Google, or any app distribution platform. Minz.ai, not Apple or Google, is solely responsible for Minz.ai and its content.

By creating an account, installing, or using Minz.ai, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Minz.ai.

To use Minz.ai, you must:

• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• If acting on behalf of an organization, you must have the authority to bind that organization to these Terms

• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account

4.1 Scope

We grant you a limited, non-exclusive, non-transferable, revocable license to use Minz.ai on devices you own or control, in accordance with the usage rules of the applicable app distribution platform (Apple App Store, Google Play Store).

4.2 Restrictions

You may not:

• Copy, distribute, rent, lease, sublicense, or resell any part of Minz.ai
• Reverse engineer, disassemble, decompile, or attempt to extract the source code
• Modify Minz.ai or create derivative works based on it
• Use Minz.ai for any unlawful purpose, to send spam, or to harass others
• Use Minz.ai to develop competing products or services
• Bypass usage limits, rate limits, or security measures
• Access Minz.ai through automated means (bots, scrapers) outside of our official interfaces and APIs

5.1 Ownership

You retain full ownership of all data you input into Minz.ai, including conversations, contacts, and uploaded content (“Your Data”). You grant us a limited license to process, store, and transmit Your Data solely for the purpose of operating the Service.

5.2 Your Responsibility

• You represent that you have the legal right to collect, process, and use your customer data through Minz.ai
• You must comply with all applicable data protection laws and regulations
• You must not upload, store, or transmit content that is unlawful, infringes on third-party rights, or is fraudulent in nature

5.3 Retention & Deletion

Data handling, retention, and deletion are described in our Privacy Policy. When your account is terminated, Your Data will be permanently deleted within 30 days, except where retention is required by law.

Minz.ai uses AI models to draft replies, summarize, analyze, and recommend actions. You should understand that:

• AI output can be wrong. AI-generated content is assistive in nature. It is not legal, tax, financial, or medical advice, and it does not replace human judgment.
• You are responsible for reviewing output before you rely on it. For any customer-facing message, business decision, or official record based on AI output, you remain responsible for checking it for accuracy and suitability.
• Automated features. If you enable auto-reply chatbots or automation workflows, the system acts according to your configuration without step-by-step approval. You are responsible for that configuration and for the messages it sends.
• Output is not unique. The same prompt may produce different results at different times, and other users may receive similar output.
• The AI providers we use are listed in our Privacy Policy. Under our API agreements, they do not use your data to train their models.

7.1 Plugins & Connected Channels

Minz.ai supports plugins and integrations that connect to third-party communication platforms and services. When you enable these integrations, you must also comply with the terms and policies of those third-party platforms.

7.2 Our Limitations

We do not control and are not responsible for:

• Changes to APIs, policies, or features of any third-party platform
• Any third-party platform suspending, restricting, or terminating your access
• Service interruptions caused by third-party platform outages or issues
• The content, accuracy, or availability of third-party services

Minz.ai is a business service purchased by organizations directly from Minz.ai. Access to the platform is provisioned after your organization completes the purchase process.

• Plan details, pricing, and payment terms are agreed upon between your organization and Minz.ai prior to account creation
• All fees and billing are handled directly between your organization and Minz.ai — Minz.ai does not offer in-app purchases through the Apple App Store or Google Play Store
• Refund requests should be directed to [email protected] in accordance with your organization’s service agreement

Minz.ai is solely responsible for providing maintenance and support for Minz.ai. Apple and Google have no obligation whatsoever to provide any maintenance or support services for this application.

We aim to keep Minz.ai available at all times but do not guarantee specific uptime for standard plans. We reserve the right to temporarily suspend service for maintenance or technical reasons, with advance notice when possible.

Minz.ai is solely responsible for any product warranties, whether express or implied by law.

To the maximum extent permitted by law:

• Minz.ai is provided “AS IS” and “AS AVAILABLE”
• We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements
• We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement

You acknowledge that Minz.ai, not Apple or Google, is responsible for addressing any claims relating to Minz.ai or your possession and use of it, including:

• Product liability claims
• Claims that Minz.ai fails to conform to legal or regulatory requirements
• Claims arising under consumer protection, privacy, or similar legislation

To the maximum extent permitted by law, Minz.ai shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of revenue, profits, data, business opportunities, or goodwill
• Cost of procuring substitute products or services

arising from or related to your use of Minz.ai, regardless of whether we were advised of the possibility of such damages.

Our total liability under these Terms shall not exceed the amount you have actually paid to us in the twelve (12) months immediately preceding the claim.

These limitations do not apply where prohibited by applicable law.

13.1 Our Rights

Minz.ai, including its source code, design, interface, logos, and documentation, is the exclusive property of Minz.ai or its licensors. These Terms do not transfer any intellectual property rights to you.

13.2 Your Rights

You retain all intellectual property rights to Your Data.

13.3 IP Claims

In the event of a third-party claim that Minz.ai infringes that third party’s intellectual property rights, Minz.ai, not Apple or Google, is solely responsible for the investigation, defense, settlement, and discharge of such claim.

14.1 By You

You may stop using Minz.ai and request account deletion at any time by:

• Using the account deletion feature in Settings, or
• Sending a request to [email protected]

14.2 By Us

We may suspend or terminate your account if:

• You violate any provision of these Terms
• You use Minz.ai for unlawful or harmful purposes
• You fail to pay service fees as agreed with your organization
• Required by a government authority

14.3 Effect of Termination

Upon termination:

• Your right to use Minz.ai ends immediately
• You have 30 days to request data export
• After 30 days, Your Data will be permanently deleted, except where retention is required by law
• Sections on Intellectual Property, Limitation of Liability, and Governing Law survive termination

You represent that:

• You are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country
• You are not listed on any U.S. Government list of prohibited or restricted parties
• You will comply with all applicable export control laws when using Minz.ai

You and Minz.ai acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms (to the extent Minz.ai is distributed via the Apple App Store). Upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted that right) to enforce these Terms against you as a third-party beneficiary.

These Terms are governed by the laws of the Socialist Republic of Vietnam.

Any dispute arising from these Terms will be resolved as follows:

• Negotiation: the parties will attempt in good faith to resolve the dispute through direct negotiation within 30 days of written notice
• Court: if negotiation fails, the dispute will be submitted to the competent court in Hanoi, Vietnam

• Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Minz.ai regarding Minz.ai
• Modifications: we may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 15 days in advance. Continued use after changes take effect constitutes acceptance
• Severability: if any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in full effect
• No Waiver: failure to enforce any right under these Terms does not constitute a waiver of that right
• Assignment: you may not assign your rights under these Terms without our written consent. We may assign these Terms without your consent
